Terms of Service
Defining the legal framework and operational obligations for users of the HalalCortex digital infrastructure.
01. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “Applicant”, “Certification Body”, “Auditor”, or “you”) and HalalCortex (“HalalCortex”, “Company”, “we”, “us”, “our”).
By accessing or using the HalalCortex website, applications, dashboards, APIs, verification tools, or related services (collectively, the “Services”), you agree to be legally bound by these Terms.
If you do not agree, you must immediately discontinue use of the Services.
02. Nature of the Platform
HalalCortex operates strictly as a digital technology infrastructure and workflow management platform.
HalalCortex:
- Does NOT independently issue halal certifications unless expressly stated in a separate written agreement.
- Does NOT guarantee certification approval.
- Does NOT control the independent decisions of Certification Bodies.
- Does NOT verify the truthfulness of submitted documentation beyond system-level validation.
Certification decisions remain solely the responsibility of the respective Certification Body.
03. User Eligibility
By using the Services, you represent and warrant that:
- You are at least 18 years old.
- You have authority to act on behalf of your organization.
- All information provided is accurate and lawful.
- You are not prohibited by law from using the Services.
HalalCortex reserves the right to suspend or terminate accounts that provide false information.
04. Account Responsibility
Users are responsible for:
- Maintaining confidentiality of login credentials.
- Restricting access to authorized personnel only.
- All activity occurring under their account.
HalalCortex shall not be liable for unauthorized use of accounts resulting from user negligence.
05. User Obligations
Users agree NOT to:
- Submit false, misleading, or fraudulent documentation.
- Upload forged certificates or misrepresent certification status.
- Attempt to manipulate audit outcomes or interfere with system security.
- Reverse engineer or exploit the platform.
- Violate applicable laws or regulations.
Violation may result in immediate suspension, permanent termination, legal action, and reporting to authorities.
06. Certification Disclaimer
HalalCortex expressly disclaims:
- Responsibility for certification approval or rejection.
- Liability for regulatory consequences faced by Applicants.
- Responsibility for audit decisions made by Certification Bodies.
- Responsibility for product recalls or compliance failures.
Certification outcomes are independent decisions made by authorized bodies.
07. Audit & Documentation Responsibility
Applicants are solely responsible for:
- Accuracy of submitted documentation and compliance with halal standards.
- Truthfulness of ingredient disclosures and manufacturing processes.
- Ongoing compliance post-certification.
HalalCortex is not responsible for undisclosed ingredients, hidden supply chain risks, or misrepresentation.
08. Fees & Payments
- All fees are payable in advance unless otherwise agreed.
- Fees are non-refundable unless required by law.
- Certification rejection does not entitle user to refund.
- Users are responsible for taxes applicable in their jurisdiction.
HalalCortex is not responsible for payment gateway failures beyond reasonable control.
09. Intellectual Property
All platform elements including software, code, algorithms, UI/UX, branding, logos, and system architecture are the exclusive property of HalalCortex.
Users may not copy, modify, reverse engineer, resell, or distribute these elements without written permission.
10. Data Ownership
Users retain ownership of their submitted data. However, by submitting data, you grant HalalCortex a worldwide, non-exclusive, royalty-free license to store, process, display, and archive data as necessary to operate the Services.
11. Service Availability
HalalCortex does not guarantee uninterrupted or error-free operation. We reserve the right to modify features, suspend services, or perform maintenance without prior notice.
HalalCortex is not liable for downtime, system outages, data loss, or business interruption.
12. Limitation of Liability
To the maximum extent permitted by law, HalalCortex’s total aggregate liability shall not exceed the total fees paid by the user in the twelve (12) months preceding the claim.
HalalCortex is not liable for indirect damages, loss of profits, reputational harm, or regulatory fines.
13. Indemnification
You agree to indemnify and hold harmless HalalCortex and its affiliates against any claims arising from false submissions, regulatory violations, product non-compliance, or misuse of the platform.
14. Force Majeure
HalalCortex shall not be liable for delays or failure caused by events beyond reasonable control, including natural disasters, cyberattacks, or government actions.
15. Termination
HalalCortex may suspend or terminate accounts for violation of these Terms, fraud suspicion, legal compliance, or security risks. Termination does not relieve users of outstanding payment obligations.
16. Dispute Resolution
Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration or exclusive jurisdiction of courts as specified in separate agreements.
17. Governing Law
These Terms shall be governed by the laws of India. Disputes subject to exclusive jurisdiction of courts in Mumbai/New Delhi.
18. Severability
If any provision is deemed invalid, remaining provisions remain enforceable.
19. No Waiver
Failure to enforce any provision does not constitute waiver of rights.
20. Modifications
HalalCortex may update these Terms at any time. Continued use constitutes acceptance.
21. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between the parties.
